Corporate Membership

These Terms and Conditions (the "Terms") govern Corporate Membership in the Lucas Museum of Narrative Art (the "Museum"). The member organization (the “Corporate Member”) agrees to be bound by these Terms.
1. Purpose
1.1 Corporate Membership serves the critical role of supporting the Museum’s operations in furtherance of its charitable mission. Corporate Membership provides your company’s clients, executives, employees, and their families with unparalleled access to our landmark campus and the world of narrative art. In turn, your Corporate Membership supports the mission of connecting communities through narrative art.
1.2 Corporate Membership is not a sponsorship, marketing partnership, endorsement, advertising relationship, joint venture, or agency relationship, and creates none of the foregoing. Nothing in Corporate Membership entitles a Corporate Member to co-marketing, brand visibility, naming rights, community activation, category exclusivity, or public partnership status.
1.3 An organization seeking any of the benefits described in Section 1.2 must enter into a separate written sponsorship agreement with the Museum. The Museum has no obligation to offer or negotiate such an agreement.
1.4 The Museum's acknowledgment of a Corporate Member's name in the Museum's donor listings, if any, is at the Museum's sole discretion, is made in the Museum's own voice, and does not constitute an endorsement of the Corporate Member or its products or services.
2. Term, Renewal, and Payment
2.1 Corporate Membership runs for twelve (12) months from the date the Museum accepts the Corporate Membership enrollment and receives payment in full, unless the Museum states otherwise in writing. 2.2 Corporate Membership dues are payable in advance, in full, and are non-refundable.
2.3 Corporate Membership does not renew automatically. Any renewal requested by a Corporate Member must be approved by the Museum and is subject to the Terms and benefit levels then in effect.
3. Tax Treatment
The Museum is a California nonprofit organization described in Section 501(c)(3) of the Internal Revenue Code. The Museum does not provide tax advice. The Corporate Member is responsible for determining the tax treatment of its membership payment under applicable law.
4. Benefit Use
4.1 Benefits may not be resold, bartered, transferred for value, auctioned, raffled, or used in any promotional contest, sweepstakes, giveaway, incentive program, or customer-acquisition offer.
4.2 The Corporate Member is solely responsible for administering the internal distribution and use of its benefits, including designating authorized users and identifying approved guests. The Corporate Member is responsible for the conduct of any person using its benefits.
4.3 Benefits are subject to availability, capacity limits, advance reservation requirements, published operating hours, and all Museum policies applicable to visitors, including security, photography, and conduct policies. Unused benefits expire at the end of the membership term and do not carry forward.
5. Museum Name, Marks, and Images
5.1 Except as expressly provided herein, the Corporate Member may not use the Museum’s name, logos, trademarks, service marks, trade dress, building or facility images, or any images of works in the Museum's collection in any material, in any medium, without the Museum's prior written approval.
5.2 Corporate Membership grants no license and no marketing, publicity, co-branding, or promotional right of any kind. Any such use the Museum approves is limited to the specific use approved, must not state or imply Museum endorsement, sponsorship, or affiliation, and all goodwill from that use inures to the Museum.
6. Venue Rental
6Corporate Membership provides eligibility to request a venue rental at the Museum. It does not reserve a date or guarantee availability. Any venue rental requires a separate written Special Event Agreement, payment of applicable rental fees, and satisfaction of the Museum's insurance, vendor, catering, and special event guideline requirements. Rental fees are in addition to Corporate Membership dues. The Museum may decline any event request in its sole discretion, including where the Museum determines the event is inconsistent with its mission or could jeopardize its tax-exempt status, the security of its collection, or its institutional reputation.
7. Museum Rights
The Museum may, in its sole discretion, modify, substitute, suspend, revoke or discontinue any membership benefit at any time, and may amend these Terms prospectively, with notice to the Corporate Member. The Museum may, in its sole discretion, terminate Corporate Membership, if the Corporate Member or any person using its benefits misuses a benefit, breaches these Terms, misrepresents the relationship between the Corporate Member and the Museum, or engages in conduct the Museum reasonably determines to be inconsistent with its mission, values, or tax-exempt status. If the Corporate Membership is terminated pursuant to this Section, the Corporate Member’s dues are non-refundable.
8. Assumption of Risk
The Corporate Member and all persons using its benefits enter Museum premises at their own risk and agree to comply with all applicable rules and staff instructions.
9. Privacy
The Museum will handle Corporate Member contact and user information in accordance with its published Privacy Policy at https://lucasmuseum.org/privacy-policy. The Corporate Member is responsible for obtaining any consents required for it to provide employee or guest information to the Museum.
10. General
Corporate Membership is non-transferable and non-assignable, including by merger or change of control, without the Museum's prior written consent. Any purported transfer is void. These Terms, together with the Museum's accepted Corporate Membership enrollment materials and any written benefit schedule, are the entire agreement between the parties on this subject and supersede all prior understandings. No waiver or modification is effective unless in writing and signed by the Museum. These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. Notices to the Museum: Lucas Museum of Narrative Art, One Lucas Plaza, 3800 S. Vermont Ave., Los Angeles, CA 90037, Attn: Development Office, development@lucasmuseum.org. Notices to the Corporate Member: the contact provided by Corporate Member. If any provision is held unenforceable, the remainder stays in effect. The provisions of these Terms that by their nature are intended to survive termination or expiration shall so survive. The person accepting these Terms represents that they have authority to bind the Corporate Member.
